Campaign participation, lead delivery, billing and advertiser responsibilities.

Last Updated: November 4, 2026
This page outlines the general terms for advertisers working with Pace Advertising. Individual campaign pricing, delivery requirements, billing terms, and other commercial conditions are established in the applicable signed Master Service Agreement (MSA) and Insertion Order (IO).

1. Parties and Purpose

This Advertiser Agreement ("Agreement") describes the general terms under which an approved advertiser ("Advertiser", "you", or "your") may purchase leads, inbound calls, live transfers, or other performance marketing services from Pace Advertising ("Pace", "we", "our", or "us").

Pace provides performance marketing and lead generation services across verticals that may include ACA/Obamacare, Medicare, Final Expense, Hospital Indemnity, and other approved campaigns.

2. Advertiser Registration and Approval

3. Campaign Requests and Approval

Advertiser may request campaigns by providing the relevant targeting, volume, geographic, qualification, operating-hour, and commercial requirements.

4. Insertion Orders and Commercial Terms

Each campaign may be governed by a separate Insertion Order ("IO") specifying relevant commercial and operational details, including:

The signed IO governs the relevant campaign-specific commercial terms. Any changes to signed commercial terms must be documented in accordance with the applicable agreement.

5. Lead and Call Delivery

Pace will use commercially reasonable efforts to deliver the approved traffic, leads, calls, or transfers described in the applicable campaign documentation.

6. Advertiser Responsibilities

Advertiser agrees to:

7. Consumer Treatment and Compliance

Advertiser is responsible for its own sales, enrollment, consultation, and consumer interaction activities.

Depending on the campaign, applicable requirements may include TCPA, Do Not Call restrictions, privacy and data protection laws, consumer protection rules, truthful advertising requirements, and relevant healthcare marketing or CMS requirements.

Advertiser must not:

Pace does not provide legal, licensing, insurance, or regulatory advice to Advertiser. Each party remains responsible for its own legal obligations.

8. Lead Acceptance and Rejection

Lead and call acceptance criteria will be defined in the applicable IO or campaign documentation.

Where the campaign allows rejection or dispute, examples may include:

Advertiser must submit disputes with sufficient supporting information within the timeframe and through the process agreed in the applicable IO. Disputes will be reviewed according to the agreed campaign criteria.

9. Rates, Invoicing and Payment

Advertiser must pay the rates and fees agreed in the applicable signed IO or other written agreement.

Pace may take reasonable steps permitted by the applicable agreement where payments are overdue, including pausing campaign delivery or restricting account access.

10. Data Privacy and Security

Advertiser must handle all personal and consumer information received through Pace in accordance with applicable privacy laws, consent requirements, and campaign restrictions.

11. Confidentiality

Advertiser must protect all non-public business information received from Pace, including pricing, campaign details, publisher information, operational processes, credentials, agreements, and business records.

Confidential information may only be used for the authorized business relationship and must not be disclosed to unauthorized third parties.

12. Intellectual Property and Brand Use

Advertiser retains ownership of its trademarks, brands, and materials. Pace retains ownership of its own website, branding, platform, documents, and intellectual property.

Neither party may use the other party's trademarks, logos, or marketing materials without prior authorization, except as expressly permitted in writing.

13. Campaign Changes and Suspension

Pace may pause, modify, restrict, or discontinue a campaign where reasonably necessary due to traffic availability, advertiser requirements, compliance concerns, quality issues, payment issues, or business considerations.

Advertiser must notify Pace of changes to campaign criteria, product details, receiving capacity, or other matters that may affect delivery. Changes to signed commercial terms will be handled under the applicable agreement.

14. Termination

Either party may terminate its business relationship in accordance with the notice and termination provisions in the applicable signed MSA or other written agreement.

Pace may suspend or terminate services where reasonably necessary in response to suspected fraud, legal or regulatory concerns, security incidents, material breach, or overdue payments, subject to the applicable agreement and law.

Termination does not eliminate obligations that accrued before termination, including payment, confidentiality, data protection, and other surviving obligations.

15. Representations and Warranties

Advertiser represents that:

16. Indemnification

Any indemnification obligations, including responsibility for claims, losses, regulatory actions, or expenses arising from a party's breach, misconduct, or unlawful activity, will be governed by the applicable signed MSA or other written agreement. Nothing in this section creates an obligation beyond what is agreed in that contract or permitted by applicable law.

17. Limitation of Liability

The parties' liability will be governed by the applicable signed MSA or other written agreement. To the extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages except where such limitation is prohibited or the applicable agreement provides otherwise.

18. Electronic Agreements and Signatures

Pace may deliver MSAs, IOs, and related documents electronically through the partner portal or secure signing links.

19. Independent Business Relationship

Unless expressly agreed otherwise in writing, each party operates as an independent business. Nothing in this Agreement creates a partnership, employment relationship, joint venture, or agency relationship between the parties.

20. Governing Law and Disputes

The governing law, jurisdiction, and dispute resolution procedure applicable to the Advertiser relationship will be set out in the signed MSA or other written agreement. Where no agreement addresses a particular matter, applicable law will govern.
